Ownership is defined as the total value of investment or number of shares in an issuer, based on publicly available information. Such public information includes holdings of: institutional investors (from SEC 13F filings and mutual fund filings); beneficial holders of large stakes in an issuer (generally greater than 5% of an issuer's share capital as disclosed in SEC 13D filings); director, officer and board member positions (as determined in proxy filings); holdings of banks, broker/dealers and insurance companies acquired in the ordinary course of business and not with the purpose of controlling or influencing control (as disclosed in SEC 13G filings); and from substantial sources such as company-issued statements.
